  3. Intellectual Property: Unless otherwise agreed upon in writing, all intellectual property rights in the custom software developed by Iclips Tech shall belong to the client upon full payment for the services rendered.
  4. Confidentiality: Iclips Tech agrees to maintain the confidentiality of all client information and proprietary materials disclosed during the course of the engagement.
  5. Payment Terms: Payment terms will be outlined in the agreement between Iclips Tech and the client. Failure to adhere to payment terms may result in suspension of services or termination of the engagement.
  6. Limitation of Liability: Iclips Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of the use or inability to use the custom software.
  7. Indemnification: Clients agree to indemnify and hold harmless Iclips Tech, its employees, and agents from any and all claims, liabilities, damages, or expenses arising out of the use of the software.
  8. Modification of Terms: Iclips Tech reserves the right to modify these terms and conditions at any time. Any material changes will be communicated in writing.
  9. Governing Law: These terms and conditions shall be governed by and construed in accordance with the laws of The Republic of South Africa, without regard to conflict of law provisions.
